Lincoln County Republican Committee By-Laws

ARTICLE I

NAME
The name of the committee shall be the LINCOLN COUNTY REPUBLICAN COMMITTEE, and it shall be the official governing body of the Lincoln County Republican Party.

ARTICLE II
MEMBERS
Membership in this committee shall be limited to the following categories of enrolled Republicans:  Those elected to be members by each of the Town and Plantation Committees in Lincoln County at its biennial caucus or thereafter as necessary, from among their members (each Town or Plantation Committee shall elect two people, in addition to the Chairman and Finance Chairman of each Town or Plantation), the State Committee-man, the State Committee-woman, a delegate from the student body of each Lincoln County secondary school, State Legislators who are residents of Lincoln County, District Attorney if a resident fo Lincoln County, Sheriff, Judge of Probate, Registrar of Probate, Register of Deeds, County Treasurer, the commissioners of this County, and the past Chairmen of the County Committee.

ARTICLE III
OFFICERS AND ELECTIONS
The Officers of the County Committee shall be a Chairman, Vice-Chairman, Secretary, Treasurer, and Finance Chairman, each having the powers and being subject to the duties customarily applying to their respective offices.  The Officers may be elected from outside the committee, but upon election shall become a member of the Committee.

These Officers shall be elected biennially by members of the County Committee at the first meeting of said Committee of the new year following the biennial November general elections and shall serve until their successors are duly elected.  If the office of Chairman shall become vacant, the Vice Chairman shall immediately ascend to and assume the office of Chairman.  In the case of a vacancy in any other office, the County Committee shall nominate and elect a successor.  The State Committee-man and State Committee-woman, and if appropriate, an at-large State Committee person, shall be nominated and elected by the County Caucus at the Biennial State Convention.  In case of a vacancy, the County Committee shall nominate a successor, and the secretary shall notify the secretary of the State Committee of the nomination.

ARTICLE IV
DUTIES OF THE COUNTY COMMITTEE
The County Committee shall be responsible for the welfare of the Republican Party in the County of Lincoln and shall take whatever steps are necessary to strengthen the party and especially to encourage all persons to register and enroll in the Republican party, to vote in all elections to support all Republican Candidates, to issue such publicity and arrange such rallies and other meetings as may seem wise to the Committee, to give proper information to the public, to cooperate with the State and Town Committees, and to do such acts as may be deemed necessary in the furtherance of the foregoing purposes.

ARTICLE V
EXECUTIVE COMMITTEE
There shall be an executive committee consisting of the officers of the County Committee and the State Committee-man and the State Committee-woman for this County.  It shall be the duty of the Executive Committee to disburse all funds of the County Committee for political purposes, and the Treasurer shall pay no bill or disburse any money except as such disbursement shall be approved by two thirds of the Executive Committee, as attested by the Chairman and the Secretary and one member of the State Committee.  The said Executive Committee may have discretion to act in furtherance of the foregoing purposes set forth in Article IV but shall be bound to follow any instruction given it by the County Committee at a properly convened meeting at which a quorum is present.  At any meeting of the Executive Committee a majority of the members shall constitute a quorum.  Meetings of the Executive Committee shall be called by the Chairman or, in his absence or inability to act, by the Vice-Chairman, and all members of the Committee shall have actual personal notice of such meeting at least forty-eight hours before each meeting.  Such notice may be signed by the Chairman, Vice Chairman or Secretary.  The Executive Committee may, to include committee chairman or for better representation, appoint up to three additional members to the Executive Committee.  If any Executive Committee Member fails to attend three consecutive meetings of the County Committee, the secretary shall so inform the County Committee, which may, at its discretion declare the position vacant.  The Executive Committee should further the purposes set forth in Article IV and take action in furtherance of those purposes.

ARTICLE VI
VOTING RIGHTS AND PROXIES
Each member of the County Committee shall be entitled to one vote on all questions at any meeting, if present in person.  Members elected by Town and Plantation Committees and Town and Plantation Chairmen and Finance Chairmen may appoint proxies, in writing, from among the members of their respective committees.  Such proxy shall be a member of the same Community as the person who appointed him with the exception of Monhegan and not a current member of the County Committee.

ARTICLE VII
CALLING OF MEETINGS
A meeting of the County Committee may be held at any time upon the call of the Chairman, or in his absence or inability to act by the the Vice-Chairman.  In addition, upon written petition of at least ten members of said Committee filed with any member of the Executive Committee, such member of said Executive Committee may instruct the Secretary to call a meeting, and if the Secretary fails to do so, such member of the Executive Committee shall be empowered to call such a meeting.

Notice of any meeting of the County Committee shall be given in writing at least one week before each meeting is to be held.  Said notice shall contain the time and place of such meeting, and so far as possible the purpose of such meeting.

ARTICLE VIII
QUORUM
No business may be conducted without the presence of a quorum of fifteen members of the County Committee.

ARTICLE IX
RULES OF ORDER
The Rules of Order for the conduct of all meetings of the County Committee and the Executive Committee shall be Robert's Rules of Order Newly Revised, except where they are in conflict with the laws of the State of Maine or the adopted rules of the Republican State Committee or these bylaws.

ARTICLE X
AMENDMENTS
These By-Laws may be amended at any County Committee meeting by a two-thirds vote of the members present or represented by written proxy at such meeting.  Written notice of the proposed amendment shall be provided to each member at least one week before the date of such meeting.

ARTICLE XI
VACANCIES
If any member who represents a Town of Plantation Committee fails to attend, in person or by proxy, three consecutive meetings of the County Committee, the Secretary shall so inform the Plantation or Town Committee, which the member represents.  Said organization may, according to its rules and procedure, declare the position to be vacant and elect a successor.
